Introduction

These Terms of Service ("Terms") govern your use of the Fractro platform operated by Fractro Technologies Pvt. Ltd. ("Company", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

Fractro is a SEBI-registered platform facilitating fractional ownership of real estate assets in India. These Terms comply with applicable Indian laws including the Companies Act 2013, SEBI regulations, and the Information Technology Act 2000.

Definitions

Platform:The Fractro website, mobile application, and related services
Fractional Ownership:Legal ownership of a percentage share in a real estate property
User/Investor:Any individual or entity using our platform to invest in properties
Property:Real estate assets available for fractional investment through our platform
KYC:Know Your Customer verification process as required by Indian law

Eligibility

To use our platform, you must:

  • Be at least 18 years of age
  • Be a resident of India with valid Indian documents
  • Have a valid PAN card and Aadhaar card
  • Complete our KYC verification process
  • Have a valid Indian bank account
  • Not be restricted from investing under applicable laws
  • Agree to these Terms and our Privacy Policy

Account Registration and Security

Registration Requirements

  • Provide accurate and complete information during registration
  • Submit required KYC documents for verification
  • Maintain updated contact and financial information
  • Use your legal name as per government-issued documents

Account Security

  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized account access

Investment Terms

Investment Process

  • Minimum investment amount is ₹25,000 per property
  • All investments are subject to availability and property caps
  • Payments must be made from your registered bank account
  • Investment confirmations are binding and generally non-refundable
  • Property ownership transfers upon successful payment processing

Ownership Rights

  • You receive proportional ownership rights in the property
  • Rental income is distributed monthly based on ownership percentage
  • Capital appreciation benefits accrue to all fractional owners
  • Voting rights may apply for major property decisions
  • Ownership transfers are governed by applicable property laws

Exit and Liquidity

  • Secondary market transactions subject to platform availability
  • Property sales typically occur after 5-7 years
  • Exit proceeds distributed proportionally to ownership
  • Transaction fees may apply to secondary market sales
  • Lock-in periods may apply to certain investment products

Prohibited activities include:

  • Money laundering or financing illegal activities
  • Providing false or misleading information
  • Attempting to manipulate property valuations
  • Sharing account credentials with third parties
  • Engaging in fraudulent or deceptive practices
  • Violating platform security measures

Fees and Charges

Our fee structure is transparent and disclosed before transactions:

  • Platform fees for investment processing
  • Property management fees (included in rental calculations)
  • Secondary market transaction fees
  • Payment processing charges
  • Annual maintenance fees (if applicable)
  • Exit fees for property sales

All fees are clearly disclosed and agreed upon before transactions. Fee structures may change with advance notice.

Intellectual Property

The Fractro platform, including its design, content, features, and functionality, is owned by Fractro Technologies Pvt. Ltd. and protected by intellectual property laws.

  • You may not copy, modify, or distribute our platform content
  • Our trademarks and logos may not be used without permission
  • User-generated content remains your property but grants us usage rights
  • We respect third-party intellectual property rights

Disclaimers and Limitations

Service Disclaimers

  • Services are provided "as is" without warranties
  • We do not guarantee investment returns or property performance
  • Platform availability is subject to maintenance and technical issues
  • Third-party information accuracy is not guaranteed

Liability Limitations

Our liability is limited to the maximum extent permitted by law. We are not liable for indirect, consequential, or punitive damages arising from platform use or investment losses.

Governing Law and Dispute Resolution

  • These Terms are governed by Indian law
  • Disputes will be resolved through arbitration in Bangalore, Karnataka
  • Courts in Bangalore have exclusive jurisdiction
  • SEBI grievance mechanisms apply to investment disputes
  • Mediation may be attempted before formal proceedings

Termination

We may terminate or suspend your account for violations of these Terms, illegal activities, or regulatory requirements. You may close your account at any time, subject to pending investments and obligations.

Upon termination, your property ownership rights remain intact, but platform access will be restricted. Outstanding obligations survive termination.
